When we say "Ploid," "we," "us," or "our," we mean the company operating ploid.com and related services. When we say "Services," we mean our websites, applications, APIs, and related products. When we say "you" or "your," we mean the individual or entity accessing the Services. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
Important: Section 12 (Disputes) includes limitations of liability and, for U.S. residents, an arbitration agreement and class-action waiver. Read it carefully; it may affect your legal rights.
1. Acceptance of Terms
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Description of Services
Ploid provides software and infrastructure to search, enrich, organize, and reason about professional people data for recruiting, go-to-market, and related business use cases. The Services may include natural-language search, profile and company information, integrations with third-party tools, collaboration features (such as workspaces and threads), and AI-assisted outputs.
We continually improve the Services. We may add, change, suspend, or discontinue features or offerings. We do not guarantee uninterrupted or error-free operation. Information surfaced through the Services may come from third-party providers (including data enrichment vendors), public sources, and Ploid's own systems and processing; it may be incomplete or outdated. You are responsible for how you rely on it and for compliance with laws that apply to your use case.
Professional and business contact focus. We focus on professional and business contact data for B2B workflows—not on operating a consumer directory. The Services are intended for lawful business and professional outreach (for example recruiting and sales) only, not for personal, non-business use, harassment, stalking, spam, or unpermitted surveillance. Outputs may include contact inferences—treat them as aids, not guarantees.
Sensitive personal data. We do not collect sensitive personal data as a core product category (for example health, religion, or biometric data used to identify individuals). We do not design the Services to provide such categories as a primary output; you must not use the Services to obtain or process sensitive data unlawfully.
3. Account management
Certain features require an account. You agree to provide accurate registration and billing information and keep it current. You are responsible for maintaining the confidentiality of credentials and for activity under your account. Notify us promptly of unauthorized access.
Fees, subscriptions, usage limits, and payment terms are set out in an order form, checkout flow, or other written agreement. Unless stated otherwise, fees are non-refundable. We may change pricing or billing methods for future periods with reasonable notice. Late or failed payment may result in suspension of the Services.
4. User responsibilities
You agree not to, and not to permit others to:
- Use the Services in violation of applicable law, including privacy, employment, anti-discrimination, anti-spam, and data protection laws.
- Use the Services or people data for personal, non-business purposes in a way that violates applicable law or reasonable privacy expectations (including harassment, stalking, or doxxing).
- Scrape, crawl, harvest, or extract data from the Services in an automated way except through documented APIs or features we expressly permit.
- Attempt to gain unauthorized access to the Services, other accounts, or our or others’ systems.
- Use the Services to send spam, phishing, malware, or deceptive communications.
- Reverse engineer, decompile, or attempt to derive source code of the Services except where prohibited by law.
- Resell, sublicense, or redistribute the Services or outputs in a way that competes with Ploid or breaches your agreement.
You are solely responsible for your use of people data obtained through the Services, including obtaining any required notices, consents, or legal bases, honoring individual rights requests where applicable, and complying with regulations governing recruiting, marketing, and background screening in your jurisdiction. Ploid does not provide legal advice.
5. Your data and content
"Your Content" means data, queries, lists, notes, and other materials you submit to the Services. You retain ownership of Your Content. To operate and improve the Services, you grant Ploid a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Your Content as reasonably necessary to provide the Services to you and as described in our Privacy Policy.
You represent that you have the rights needed to submit Your Content and that it does not violate law or third-party rights. We may remove or restrict content that violates these Terms or poses risk, where permitted by law.
6. Intellectual property
The Services, including software, branding, documentation, and our proprietary models and interfaces, are owned by Ploid or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
If you provide feedback or suggestions, you grant Ploid a perpetual, irrevocable, royalty-free license to use them without obligation to you.
7. Third-party services
The Services may interoperate with third-party products, data providers, and integrations. Those services are governed by their own terms and privacy policies. Ploid is not responsible for third-party services or their data.
8. Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, or if we must do so for legal or security reasons. Upon termination, your right to access the Services ceases; provisions that by their nature should survive (including ownership, confidentiality, limitations of liability, and disputes) will survive.

9. Modification of Terms
We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. If changes are material, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
10. Privacy Policy
Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Services, you acknowledge that we process personal information as described there.
11. Data retention
We retain information as described in our Privacy Policy and as needed to provide the Services, comply with law, resolve disputes, and enforce agreements. You may request deletion subject to legal exceptions by contacting Kamran@ploid.co.
12. Disputes; limitation of liability
Services provided "as is." To the fullest extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be accurate, complete, or suitable for any particular decision.
Limitation of liability. To the maximum extent permitted by law, neither Ploid nor its suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to the Services or these Terms. Our aggregate liability for claims arising out of or related to the Services or Terms is limited to the greater of (a) the amounts you paid to Ploid for the Services in the three months before the claim arose, or (b) one hundred U.S. dollars (USD $100), except where liability cannot be limited under applicable law.
Informal resolution. Before filing a claim, you agree to contact us at Kamran@ploid.co with a written description of the dispute and desired resolution. The parties will attempt to resolve the dispute in good faith for at least sixty (60) days.
Governing law; venue. These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply. Subject to the arbitration provision below, exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
U.S. arbitration; class waiver. If you are resident in the United States, you and Ploid agree to resolve disputes arising out of these Terms or the Services through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except either party may seek injunctive relief in court for intellectual property or misuse of the Services. You and Ploid waive any right to a jury trial and agree that disputes will be brought only in an individual capacity, not as a class or representative action. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing Kamran@ploid.co with subject "Arbitration opt-out" and your name and account email. If this arbitration provision is found unenforceable, the dispute will proceed in the courts described above.
Residents of the European Economic Area, United Kingdom, or Switzerland may have mandatory rights under local law that cannot be waived by these Terms.
13. Electronic communications
You consent to receive communications from us electronically (for example, service notices and billing). You agree that such communications satisfy any legal writing requirement where permitted.
14. Indemnity
You will defend, indemnify, and hold harmless Ploid and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Services in violation of these Terms or law, or your violation of third-party rights.
15. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16. Force majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, utility failures, or internet or cloud provider outages.
17. Data security
We implement administrative, technical, and organizational measures designed to protect information processed through the Services. No method of transmission or storage is completely secure; you use the Services at your own risk to that extent.
18. General
These Terms constitute the entire agreement between you and Ploid regarding the Services and supersede prior agreements on the same subject. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver.
